CLOUDADVISORS SOFTWARE-AS-A-SERVICE AGREEMENT (TERMS AND CONDITIONS)
1. Definitions
When used in this Agreement, the following terms shall have the following meanings unless the context otherwise requires:
a. “Admin User” means the employee or contractor of Client who is responsible for internally managing
Client’s use of the Service, including setting up, registering and allocating User accounts in accordance with this Agreement. The default Admin User shall be the first employee or contractor to register for a User account and Client may from time to time re-assign the Admin User account by emailing CloudAdvisors at support@cloudadvisors.ca.
b. “Advisor” means an employee or contractor of Client who is a licensed insurance advisor and is
authorized to access and use the Offering in connection with the direct or indirect sale or marketing of Client’s products and services to its customers and prospective customers;
c. “Affiliate” of a Party means any corporation or other legal entity that such Party directly or indirectly
controls, is controlled by or is under common control with. In this context, a Party “controls” a corporation or other entity if it or any combination of it and/or its Affiliates owns more than fifty percent (50%) of the voting rights for the board of directors or other mechanism of control for such corporation or other entity;
d. “Anonymized Data” means data, including Client Data, which has been stripped of information
potentially identifying Client or which contains any Personal Information, and which has been manipulated or combined to provide generalized anonymous information that cannot be reverse-engineered to identify Client or any other person;

Information collected. When you request additional information or register on Cloud Benefit Solutions Inc.’s Web site, the Company may ask you to provide basic contact information.When you purchase Cloud Benefit Solutions Inc.’s applications or services (the “Services”), the Company may ask you to provide billing information.
Cloud Benefit Solutions Inc. uses common Internet technologies, such as cookies and Web beacons, to keep track of interactions with the Company’s Web sites and emails.
Use of Information - Cloud Benefit Solutions Inc. uses information collected to provide you with the services you request, and develop and improve other services. Cloud Benefit Solutions Inc. may use information collected to provide you with additional information about the Company’s Services, partners, promotions, and events.
Cloud Benefit Solutions Inc. may use information collected to improve the Company’s Web sites and Services.
Unless described in the full Privacy Statement Cloud Benefit Solutions Inc. does not share, sell, rent, or trade personally identifiable information with third parties for their promotional purposes. Cloud Benefit Solutions Inc. may share information collected with other companies that work on Cloud Benefit Solutions Inc.’s behalf.
